Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the website awbusiness.ca and any mentorship or advisory services provided by AW Business Consulting (“AW Business Consulting,” “we,” “our,” or “us”). By submitting an application, booking a session, or engaging our services, you agree to be bound by these Terms.
1. Services
AW Business Consulting provides private business mentorship and strategic advisory services to founders and business owners. Services may include discovery sessions, one-on-one mentorship, strategic planning, access to the client portal, educational modules, and related resources. The scope, duration, and pricing of services are agreed upon individually with each client prior to engagement.
2. Application and Acceptance
Our mentorship program is application-only. Submitting an application or booking a discovery session does not guarantee acceptance into the program. AW Business Consulting reserves the right to accept or decline any application at its sole discretion. Acceptance is confirmed only upon execution of a client agreement and receipt of applicable fees.
3. Fees and Payment
Fees for services are outlined in your individual client agreement. Payment is due in accordance with the schedule set out in that agreement. We reserve the right to suspend access to services in the event of non-payment. Payment processing is handled by compliant third-party processors; by providing payment information, you agree to their applicable terms. All fees are in Canadian dollars (CAD) unless otherwise specified.
4. Cancellation and Refund Policy
Cancellation and refund terms are specified in your individual client agreement. Generally:
- Discovery sessions cancelled with less than 24 hours’ notice may be forfeited.
- Mentorship engagements are non-refundable once a program period has commenced, except where required by applicable law.
- AW Business Consulting reserves the right to terminate an engagement if a client acts in violation of these Terms, with fees for services already rendered retained.
5. Confidentiality
Both parties agree to maintain strict confidentiality with respect to all information shared during the course of the engagement. Specifically:
- Client information: All business information you share with us — including business plans, strategies, financial data, staff and organizational details, workflows, revenues, and any other proprietary or operational information — is strictly confidential and will not be disclosed to any third party without your prior written consent.
- AW Business Consulting materials: All frameworks, methodologies, tools, templates, and content provided through the program are proprietary to AW Business Consulting. You agree not to reproduce, distribute, or share these materials with third parties without prior written consent.
- Confidentiality obligations survive termination of the engagement.
6. Intellectual Property
All content on awbusiness.ca — including text, design, graphics, logos, and proprietary frameworks — is the intellectual property of AW Business Consulting and is protected by applicable Canadian copyright and intellectual property laws. You may not reproduce, republish, or commercially exploit any content without express written permission. Strategic work product developed specifically for you as part of your engagement remains your property upon full payment of fees.
7. No Guarantee of Results
Business mentorship is a collaborative process. While AW Business Consulting is committed to providing high-quality strategic guidance, we cannot and do not guarantee specific business outcomes, revenue growth, or financial results. Outcomes depend on many factors including, but not limited to, your own effort, market conditions, and execution of strategies.
8. Client Responsibilities
To receive maximum benefit from the program, you agree to:
- Provide accurate and complete information relevant to your business.
- Engage actively and attend scheduled sessions.
- Treat all communications and materials as confidential.
- Comply with these Terms and any additional terms in your client agreement.
9. Limitation of Liability
To the maximum extent permitted by applicable law, AW Business Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services or website. Our total liability for any claim arising from the services shall not exceed the fees paid by you for the services giving rise to the claim in the three months preceding the claim.
10. Disclaimer
The information and guidance provided through AW Business Consulting’s services is for strategic advisory purposes only and does not constitute legal, financial, accounting, or tax advice. You are encouraged to consult qualified professionals for advice specific to those domains.
11. Website Use
You agree to use awbusiness.ca only for lawful purposes. You may not use our website to transmit harmful, offensive, or unauthorized content, or to interfere with the operation of the site or the experience of other users.
12. Privacy
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
13. Amendments
We reserve the right to update these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our services after changes are posted constitutes acceptance of the updated Terms. Material changes will be communicated to active clients.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.
